End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and IslandSpend, operated by Old Road Rum Ltd., a company registered in Saint Kitts and Nevis ("Company," "we," "us," or "our"), for the use of the IslandSpend expense management platform, including all associated web applications, mobile applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to sublicense, resell, distribute, or make the Service available to any third party.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Upload or transmit any viruses, malware, or other harmful code.
  • Use the Service to process fraudulent transactions or misrepresent financial information.

4. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to QuickBooks Online, payment processors, and email providers. Your use of such integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

6. Intellectual Property

The Service and all associated content, features, and functionality — including but not limited to software, text, graphics, logos, and design — are owned by the Company and are protected by international copyright, trademark, patent, and other intellectual property laws. You retain ownership of any data you upload to the Service.

7. Financial Data Disclaimer

The Service provides tools for expense tracking, categorization, and reporting. It does not constitute financial, tax, or legal advice. AI-powered features, including receipt interpretation and expense categorization, are provided on a best-effort basis and may contain errors. You are responsible for verifying the accuracy of all financial data processed through the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall survive.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Saint Kitts and Nevis, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Saint Kitts and Nevis.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Service with a revised "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Agreement.
